Kingwood Security Services, LLC d/b/a Suddenlink Security ("Suddenlink Security") (along with its vendors) provides the “Connected Home” service, which, among other features, provides Subscribers with user interfaces for monitoring and controlling security systems (the “Service”). These Terms and Conditions (“Terms”) document sets forth the Terms and Conditions under which you may use the Service. The Service includes this web site, voice site, and mobile site (the "User Interfaces") and the corresponding email and phone notifications. Please read this page carefully. By accessing, browsing or using the Service or downloading any content from the Service, you acknowledge that you have read, understood and agree to be bound by these terms and to comply with all applicable laws and regulations. If you do not agree to these terms, do not access, browse or use the Service or download any content from the Service. We may revise these Terms at any time by updating this posting. You should visit this page periodically to review the Terms, because they are binding on you. If you violate any of these Terms, Suddenlink Security retains the right to immediately terminate your permission to use the Service. These terms only govern the use of the Service. Your home security services other than the Service are governed by the Security Agreement between you and Suddenlink Security; in the event of a conflict between these terms and the Security Agreement, the Security Agreement will control.

Scope of Use
Suddenlink Security grants you a limited license to access and make personal, non-commercial use of the Service but not to download (other than page caching) or modify it or any portion of it without the express written consent of Suddenlink Security. This license does not include: any resale or commercial use of the Service or any content on the Service; any collection or use of any product listings, descriptions or prices; any derivative use of the Service or any content in the Service; any downloading or copying of these Service or any content in these services for the benefit of another person or entity; or any use of data mining, robots or similar data gathering or extraction tools. This Service and the content this Service delivers may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without the express written consent of Suddenlink Security. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information (including, without limitation, images, text, page layouts or forms) of Suddenlink Security or its affiliates, vendors, contractors, agents or content providers without the express written consent of Suddenlink Security. You may not use any meta tags or any other "hidden text" utilizing Suddenlink Security or any of its affiliates' names or trademarks without the express written consent of Suddenlink Security. Any unauthorized use or use in excess of one's authorized use terminates the limited license granted by Suddenlink Security. In addition, Suddenlink Security may revoke your limited license at any time at its sole and absolute discretion.

Trademarks
Connected Home® is a registered service mark of Suddenlink Security. Unauthorized use of any Suddenlink Security trademark or logo may be a violation of federal and state trademark laws.

Copyright
The Service is protected by U.S. and international copyright laws. Except for your informational, personal, non-commercial use as authorized above, you may not modify, reproduce or distribute the content, design or layout of the Service, or individual sections of the content, design or layout of the Service or Suddenlink Security logos without our express written permission.

Modifications
Suddenlink Security reserves the right to modify the Service, and the rules and regulations governing its use, at any time. Modifications will be posted on the Web Site, and users are deemed to be apprised of and bound by any changes to the Service. Suddenlink Security may make changes in the products and/or services described on the Service at any time.

From time to time, we may post links that will allow you to leave the User Interfaces and, in the future, we may offer links that will allow you to leave the Services. Suddenlink Security may terminate this Agreement and/or your access to the Service at any time for any reason or no reason.

LIMITATION OF LIABILITY, WARRANTY DISCLAIMER
This Service is provided without warranty and subject to the following limitations of liability: EXCEPT AS LIMITED BY LAW, SUDDENLINK SECURITY PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS AND SUDDENLINK SECURITY HEREBY DISCLAIMS ANY AND ALL WARRANTIES WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE LIABILITY OF SUDDENLINK SECURITY, ITS VENDORS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES FOR ANY LOSS OR DAMAGE ARISING OUT OF MISTAKES, OMISSIONS, INTERRUPTIONS, DELAYS, ERRORS, OR DEFECTS IN THE SERVICE OR TRANSMISSION OF THE SERVICE OR FOR LOSSES OR DAMAGES ARISING OUT OF THE FAILURE OF THE SERVICE TO MAINTAIN PROPER STANDARDS OF MAINTENANCE AND OPERATIONS SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY THE SUBSCRIBER FOR THE SERVICE OR $250.00. SUDDENLINK SECURITY, ITS VENDORS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABILE 1) FOR ANY MISTAKE, OMISSION, INTERRUPTION OR DEFECT THAT DOES NOT LAST FOR AT LEAST 24 HOURS, 2) FOR ANY MISTAKE, OMISSION, INTERRUPTION, OR DEFECT IN THE SERVICE CAUSED BY THE NEGLIGENCE OR WILLFUL ACT OF SUBSCRIBERS OR PARTIES OTHER THAN SUDDENLINK SECURITY, ITS VENDORS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES, AND 3) FOR LIABILITIES CAUSED BY ACTS OF GOD, FIRE, WAR, RIOTS, GOVERNMENT AUTHORITIES, OR OTHER CAUSES BEYOND THE CONTROL OF SUDDENLINK SECURITY, ITS VENDORS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES, INCLUDING WITHOUT LIMITATION DEFECT IN OR FAILURE OF EQUIPMENT PROVIDED BY SUDDENLINK SECURITY, ITS VENDORS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES.

Choice of Law
These Terms and any action for its enforcement shall be exclusively governed by, and construed in accordance with, the laws of the State of New York, without giving effect to conflicts of laws principles thereof.

Changes to the Service and these Terms
Subscriber agrees that Suddenlink Security may for any reason and without notice to Subscriber, modify or terminate the Service without liability to Subscriber, any user or any third party. Suddenlink Security may, in its sole discretion, change, modify, add or remove portions of these Terms at any time. Suddenlink Security may notify Subscriber of any such changes to this agreement by posting notice of such changes on the Suddenlink website, or by written or electronic correspondence. The Subscriber's continued use of the Service following notice of such change, modification or amendment shall be deemed to be the Subscriber's acceptance of any such modification. If Subscriber does not agree to any modification of these Terms, Subscriber must immediately cease using the Service.
